Practice Areas

Strategic tax and business planning—Structuring business start-ups, acquisitions, mergers and terminations; developing management and governance (control) structures, planning organizational structures and reviewing tax/business advantages and disadvantages of various business forms.  Development of models for business acquisition.

Business compliance—Incorporation/organization of new and existing businesses.  Drafting and review of leases, franchise agreements, employment and independent contractor agreements, general business contracts.

Estate and business succession planning—Primary emphasis on drafting and implementing trusts, wills and buy-sell agreements; insurance uses and planning; minimization of estate tax; restructuring ownership of assets.

Tax planning and compliance—All major aspects of federal taxation, including corporate, partnership/joint venture, individual and estate/trust taxation.  Exposure to various state and local tax issues.

Practice before the IRS—Preparation of IRS ruling requests, applications for tax-exempt status, representation of clients at IRS audits and appeals.

Software Agreements—Negotiation and preparation of agreements for the development, licensing and/or escrow of software.
